Steven J. Davis, Founder

Mr. Davis has practiced corporate and business law since 1992. His experience with a major law firm and as corporate counsel helps him assist clients in achieving their business and legal goals efficiently.

Prior to starting the firm, Mr. Davis served as General Counsel and an executive officer of Molecular Imaging Corporation, a publicly traded healthcare company, and as in-house counsel for Leap Wireless International, Inc, a publicly traded wireless carrier which was spun-off from Qualcomm. He also practiced in the Business and Corporate Group in the San Diego office of Luce, Forward, Hamilton & Scripps LLP (now Dentons), a full-service law firm, where he advised both private and public clients in a variety of transactions.

Mr. Davis is currently on the Board of Directors of IMX where he helped guide the company from formation and financing to obtaining the first CFTC regulated healthcare exchange. Mr. Davis served on the Board of Directors and Audit, Compensation and Nominating Committees of Telanetix, Inc., a publicly traded telecommunications company, for 8 years before its sale to Intermedia (an Oak Hill Capital portfolio company). Mr. Davis was also the Chairman of the Special Committee in the sale transaction.

Mr. Davis is licensed to practice law in California, the District of Columbia, and Minnesota. He received his Juris Doctor, Cum Laude, from the University of San Diego, School of Law in 1992. He received his B.A. in Political Science, Cum Laude, from Arizona State University in 1988.

David A. Mandel, Special Counsel

David A. Mandel, Special Counsel at the SD | Law Group®, counsels primarily technology driven companies on a variety of business and legal issues. His areas of expertise include commercial transactions, strategic development and acquisitions, workouts/restructuring, IP licensing and portfolio and asset management. His clients’ businesses include designing and developing electronic game and digital entertainment, SaaS marketing, international retail and federal court receiverships. David has held a variety of in-house positions, most recently serving as Chief Legal Officer and Head of Corporate Development at a digital entertainment and payment company and as the Managing Director of a private equity portfolio of distressed investments in medical science, healthcare, media and technology businesses. David also has experience in wireless communications, serving as the General Counsel and head of strategic development of a supplier of network infrastructure equipment. He is a Founding Member of Leap Wireless International, a global wireless service provider, which spun out of QUALCOMM and was a founding owner of the Power Sports Group, a manufacturer of high-end composite tubing.

David began his career specializing in commercial law, distressed financial workouts and bankruptcies at the law firm of DLA Piper, formerly known as Gray, Cary, Ware and Friedenrich. He graduated, cum laude, from Colgate University with a B.A. in German studies and speaks fluent German. He attended the Universistat Konstanz, Baden-Württemberg, Germany, and earned a J.D. degree from the Boston University School of Law. He is a Thomas J. Watson fellow, and serves on the board of the Southwest Sports Wellness Foundation.
